PAD PARTICIPACOES LTDA is a privately held Brazilian holding company that administers its own portfolio of equity participations in non-financial operating businesses. We do not raise capital from third parties, we do not intermediate financial transactions, and we do not offer regulated financial services.
PAD PARTICIPACOES LTDA was incorporated on February 25, 2026 in Brasilia, Federal District, under the Brazilian Civil Code framework for Sociedade Empresaria Limitada (Limited Liability Company). Our sole corporate purpose is the administration of equity participations in non-financial operating companies owned by our shareholders, together with the ordinary acts of ownership that support that portfolio over time.
We operate under the National Classification of Economic Activities code 64.62-0-00, Holdings of non-financial institutions. This classification covers pure participation holdings that administer their own equity portfolio. It does not extend to banking, credit, insurance, brokerage, portfolio management for third parties, collective investment schemes, or any other activity that would fall under the supervisory perimeter of the Central Bank of Brazil (Bacen) or the Securities and Exchange Commission of Brazil (CVM). We do none of those things.
Because our activity is limited to administering our own participations in non-financial businesses, our operation does not require, and does not hold, any regulatory license, prior authorisation, or activity permit beyond ordinary corporate registration with the National Registry of Legal Entities (CNPJ) and the state commercial registry. This is the standard legal position for a non-financial holding under Brazilian law.
All activity is conducted internally by the holding on its own portfolio. We do not offer any of these services to external parties.
Board-level supervision of the operating companies inside our equity portfolio, including attendance at shareholder meetings, review of annual accounts, and monitoring of financial and operational performance.
Definition and maintenance of internal governance standards for the holding itself, including quotaholder resolutions, statutory record keeping, and the annual corporate reporting cycle required by Brazilian company law.
Internal planning of how capital owned by the holding is deployed between existing participations, retained reserves, and prospective new participations, always inside the perimeter of non-financial operating activity.
Preparation of consolidated views of the holding and its participations for the sole benefit of our shareholders, in line with Brazilian accounting standards applicable to holding companies of our size and structure.
Handling of the ordinary administrative obligations of a Brazilian limited liability company, including registration updates, corporate filings, and coordination with counsel and accountants engaged by the holding.
Periodic internal review of the portfolio, held on a defined calendar, covering performance, risk exposure, legal standing of each participation, and the fit between the portfolio and the long-term intentions of our shareholders.
The holding administers exclusively its own capital. It does not accept, hold, or manage capital, deposits, or investments belonging to third parties.
Participations are held only in operating companies whose activity is non-financial. The holding does not itself carry out any activity that would be regulated by Bacen or CVM.
The pace of new participations is set by the internal governance calendar of the holding, not by external pressure. Portfolio decisions are documented at quotaholder level.
Participations are held with a long ownership horizon. The holding is not organised for short-term repositioning, portfolio churn, or trading activity of any kind.
